Toys 'R' Us faces antitrust inquiry. Britax, Baby Bjorn, Maclaren, Medela, and Peg Perego also under investigation

Federal antitrust enforcers are investigating whether Toys "R" Us Inc. used its market clout to stifle discounting by retail competitors and force consumers to pay higher prices for baby products.

The Federal Trade Commission is investigating whether the retail giant may have violated an 11-year-old FTC order to abstain from anticompetitive tactics, according to people familiar with the matter. It is unclear whether the probe will result in any enforcement action.

Toys "R" Us consented to the decree in 1998, after an administrative law judge ruled that the retailer illegally wielded its market power to strong-arm toy makers into boycotting Costco Wholesale Corp. and other discount warehouse clubs by threatening to stop selling any toys also being sold by the clubs.

Toys "R" Us could face a new FTC complaint for allegedly trying to fix the prices of baby products, people familiar with the matter said. The products include strollers, high chairs, car seats and breast pumps sold at Babies "R" Us, a unit of Toys "R" Us.

A spokeswoman for the Wayne, N.J., company said, "The FTC began looking into the issue a year ago and we have cooperated fully since that time." An FTC spokesman declined to comment.

The probe is a signal that federal enforcers are taking a more aggressive role in one of the most contentious issues in retailing: whether manufacturers and retailers can agree to set a minimum retail prices on products.

FTC investigators are expected to review numerous emails exchanged among Babies "R" Us and various manufacturers.

One set of email exchanges filed in a class-action case appears to show Babies "R" Us urging the Britax Childcare unit of Carlyle Group LLC to get Target Corp. to raise prices. The subject field in the email exchanges said: "Target has not raised prices."

"Did Target commit to you when they will raise their prices?" Cesar Garcia, director of merchandising at Babies "R" Us, allegedly asked in an email dated Jan. 6, 2006.

According to the emails, a couple of hours later, Scott Doerstling, a Britax representative at the time, allegedly responded: "Target said they would honor the new MSRP's [Manufacturer Suggested Retail Price] ... please be assured that Britax's goal is to have uniform MSRP's in the market place."

Five days later, according to court records, Mr. Doerstling allegedly sent another email to Mr. Garcia reassuring him that "We are in communications with them [Target]. We understand your position and are doing what we 'legally' can do to ensure MSRP harmony in the marketplace."

Toys "R" Us didn't reply to an email seeking comment about its remarks regarding Target's prices.

Another court document suggests Babies "R" Us canceled orders for some products from Medela Inc. of Switzerland because the company wasn't being tough enough on Internet retailers that didn't abide by minimum-pricing agreements. An internal Medela memo filed in the case indicated that Medela, under apparent pressure, cut off supplies to 17 Internet retailers.

Medela officials couldn't be reached for comment.

The FTC has requested documents from two law firms -- New York-based Faruqi & Faruqi LLP and Hagens Berman Sobol Shapiro LLP of Seattle -- that are litigating cases alleging price-fixing against Babies "R" Us in U.S. District Court in Philadelphia, according to people familiar with the matter.

Kendall Zylstra, a Faruqi attorney representing two online retailers, Babyage Inc. and Baby Club of America Inc., said he had been contacted by the FTC "pursuant to the investigation."

Elizabeth Fegan, a Hagens Berman attorney representing a group of consumers in a class-action suit against Babies "R" Us, also confirmed being contacted by the FTC in same probe. That suit also is being heard in U.S. District Court in Philadelphia.

It isn't clear whether the FTC also is looking at the five manufacturers named as defendants in the lawsuits: Maclaren Ltd. of Britain; Italy's Peg Perego SpA; Sweden's Baby Bjorn AB; Medela; and Britax. The companies have denied any wrongdoing.

For nearly a century, price-fixing agreements generally were illegal. But in 2007, the U.S. Supreme Court ruled such pacts could be lawful if the benefits to consumers -- better service, for example -- outweighed the harm of higher prices.

The high-court ruling emboldened a growing number of manufacturers to establish minimum-pricing agreements with retailers. Under such pacts, discount retailers risk having their supplies cut off if they sell the goods below the fixed minimum price.

In a speech delivered last week to the National Association of Attorneys General in New York, Christine Varney, the new head of the U.S. Justice Department's antitrust division, called enforcement under the Supreme Court's pronouncement "one of the most important challenges facing state Attorneys General."

Ms. Varney added: "There is a greater likelihood that a [fixed price] restraint is anticompetitive if retailers coerced the manufacturer to adopt it."

ERGO Baby Carriers are so versitle. You can wear your baby on your back, side or front. Once you figure out how to put the straps on with baby on your back by yourself (or if you have an assistant), it's so easy to use and even easy to turn baby from the back to the front and vice versa. It only takes a few tries to get comfortable with holding your baby with one hand while putting the straps on your shoulders for back carriers. In the front, baby can snuggle right in. You can even use the ERGO with a newborn baby in the front position! You do need to buy the added infant insert for that though. But that's a big bonus! ERGOs can be used as long as you want to carry your baby. They're recommended for up to 40 pounds, but their website says they've been tested to hold up to 90 pounds. I have worn my 31 pound toddler on my back in it with no problems (pre-preggo, of course). There's a ton of padding on the straps and waist of this carrier. It's really comfortable and I love the special tuck away sun shade -slash- sleeping hood to cover baby while she's sleeping... and she will sleep in this easily. ERGO's drawback, in the front position, baby can't face forward.

Kokopax is the ultimate in framed backpack carriers. Pregnancy magazine named the Kokopax the best all around carrier in their March 2009 issue. And for good reason. While it's a framed carrier - it is uber lightweight and comfy. It is easy to load baby into and out of this carrier and comfy no matter if you're going on walks through the forest or downtown. It's so cool looking that people always ask me about this one. The Kokopax has a great pocket for storing keys and such and a cool toy ring so baby can play and be happy as a clam in his private chariot. This one accomadates babies for a long time too - 6 months to two years (or 35 pounds). The other big thing that stands out and seperates Kokopax from the pack - the easy loading kick stand feature. No need to juggle baby about trying to manuever everything just right. You put your little one in before loading this pack on your back. It's not recommended, but this feature allows you to take baby off and allow him to play happily in the pack as you, say, wait to be seated at a restaurant or wait at the airport. Total bonus!

Scootababy is the most comfortable side carrier I've worn. I was actually surprised by its softness and cushiness on my shoulder. The Scootababy is made with microfiber lining and a polar fleece shoulder strap. It is really easy to put on and both my girls liked being carried in it. This is a great carrier for getting stuff done around the house or shopping trips because you tot isn't right in front of you. That makes it easier to type on the computer and hold baby as I'm doing right now. Scootababys are recommended for babies five months old and up with a maximum weight limit of 40 pounds.

Sidekick Diaper Bag by Kemby is the most unique diaper bag I've ever come across. It is fantastic for shopping! It is a little odd to put on at first but once you get the hang of it, goes on super fast. Among the reasons I like the Sidekick: it's a diaper bag and a carrier in one, complete with a matching changing pad, wipes case, and insulated snack/bottle bag; it has lots of pockets for cell phones, keys, a wallet, and anything else you could need but it's not big and bulky! The Kemby website says its carriers are best for children who can sit up unaided with good head control through 35 pounds.

A great wrap-type carrier that's Mom-made in the USA is Ball Baby Carriers. This kind is known as a mei tei style carrier. It's very comfortable and easy to use. Baby Bjorn's Synergy carrier is an an upgraded version to the classic Baby Bjorn original carrier. I used the original caririer for a good year or two, almost daily and it still looks new. Munchkin's Jelly Bean Reversible Sling is a good one to try if you want a sling-style carrier. It is reversible, so it's like getting too cool loking slings in one. Slings are among the simplist of all carriers. There are no buckes or hooks or any kind to figure out or strap on. Just slide across your body and insert baby. The downside for the Jelly Bean and all other slings, they're pretty much for one person and not for mom or dad to share the wearing - unless mom and dad are the same height and weight. The Jelly Bean is made of soft fabric in cool designs and works for babies newborn -who would lay down cuddled up in the sling- on up to 35 pounds who would sit up in the sling, like in the photo right.

Babies "R" Us Price Fixing: Did Retailer Gouge Parents?

Before she gave birth to her first daughter back in October 2003, physicians and fellow mommies alike gave Darcy Trzupek the same advice: If you need a breast pump, get the Medela. "I didn't want to mess around with something that was going to break," says Trzupek, 41, a stay-at-home mom from Chicago. Especially when a hungry, wailing baby is involved.

So Trzupek, an experienced coupon clipper and Web-browsing bargain hunter, searched far and wide for a deal on the Medela. But she says she noticed something odd: the pump was listed at $300 everywhere she looked. For five months, she held out for a discount. Nothing. Finally, a week before going into labor, Trzupek gave in and shelled out $300 for the pump at Babies "R" Us (BRU), the retail outlet that parent company Toys "R" Us started more than a decade ago. Result: satiated baby, smaller wallet. (See seven new iPhone apps for moms.)

But was that breast pump part of a widespread price-fixing conspiracy that protected the profits of Babies "R" Us, the country's dominant big-box baby retailer? According to a federal judge, it appears that could be the case. On July 15, the U.S. District Court in Philadelphia granted class-action status to a complaint that Babies "R" Us coerced manufacturers of high-end strollers, car seats, high chairs, strap carriers and breast pumps into preventing Internet retailers from discounting their products.

No Discounts — or Else!
The dirty deal, according to the suit, was simple. From 2001 to 2006, Babies "R" Us told companies like Medela that they had to enforce resale-price maintenance — i.e., tell the Web retailers, who can more easily discount products since they avoid brick-and-mortar costs, to sell your products at X, or you'll cut off the supply. If they resisted, Babies "R" Us threatened to cut off the manufacturers, according to the suit, and refuse to sell their products in Babies "R" Us stores. Since Babies "R" Us sold 30% to 50% of these companies' products, Medela, which is based in Switzerland, and other brands like BabyBjörn, the Swedish strapmaker, and Maclaren, the strollermaker based in the U.K., had no real choice but to go along.

"I want to let Babies 'R' Us and other retailers know that consumers aren't going to put up with unfair trade restraints," says Trzupek, who joined the plaintiff class in 2006, when the suit was originally filed. The plaintiffs are pursuing an unspecified amount in damages; attorney Beth Fegan says the price agreements affected more than $500 million worth of baby products. Breast-Pump Bullies?
While Judge Anita Brody's July 15 opinion wasn't a final ruling on the case, Babies "R" Us is portrayed as a tough negotiator intent on protecting its top marketplace position. The other companies named in the suit — Medela; Maclaren; BabyBjörn; Regal Lager, the agent supplying BabyBjörn's products to the U.S. market; Peg Perego, the Italy-based maker of strollers, car seats and high chairs; and Britax, which sells car seats and strollers — come across as weak accomplices in the scheme, which Brody distinctly labels a "conspiracy." For example, Brody writes that effective Feb. 1, 2000, "pursuant to the conspiracy, Regal Lager and BabyBjörn vigorously enforced resale-price maintenance against Internet retailers, gave BRU preferential treatment and stopped opening Internet accounts. During this period, BRU accounted for most of Regal Lager's business. Its founder, Bengt Lager, said about BRU, 'It's hard to say no when they have over 50% of our business!' "

According to the opinion, an executive from BabyAge, an Internet retailer, testified that "Peg Perego's sales representative admitted that Babies 'R' Us threatened to charge Peg Perego for each new sale that BabyAge made unless Peg Perego made BabyAge stop discounting." In spring 2002, Babies "R" Us was unhappy that Internet retailers were discounting Medela breast pumps. So "to send a message," according to the opinion, Babies "R" Us canceled all Medela orders on May 2, 2002. Backed into a corner, Medela terminated 17 Internet accounts two months later. The reason, according to an internal Medela document: "We discontinued Internet sellers to protect BRU's business and margin, and therefore accepted considerable legal risk."

Tough Tactics, but Still Legal?
That risk, however, became somewhat less considerable two years ago. In 2007 the Supreme Court overturned a nearly century-old ruling that used to make these types of pricing deals inherently illegal. Now such practices must be evaluated under "the rule of reason." For the plaintiffs to win, anticompetitive effects of the minimum-pricing agreement between the manufacturer and retailer must outweigh the pro-competitive effects. That's not an easy case to make. If a manufacturer's sales increased as a result of its deal with Babies "R" Us, the company can argue that it will produce a better product because of increased profits. Thus, the consumer ultimately benefits. Babies "R" Us can argue that its higher sales can pay for in-store services — i.e., stroller demonstrations, gift registries — that would not otherwise be possible absent the minimum-pricing agreements with its Internet competitors. Again, the consumer would benefit. (See which businesses are bucking the recession.)

But in the class-certification hearing, an economist provided a regression analysis showing that the overall sales of the manufacturers actually decreased because of the agreements. Britax, for example, admitted that sales fell 5% in the two months after Internet discounting was prohibited. As for Babies "R" Us' argument that preventing competitor discounts allowed it to increase sales and thus fund services valued by consumers, Brody's opinion notes that the plaintiffs "offered evidence that manufacturers had to pay for many services directly. Each manufacturer paid fees reimbursing BRU for advertisements and promotions." Further, the opinion notes that the defense's expert economist "indicated that BRU would maintain gift registries irrespective of resale price maintenance." In other words, Babies "R" Us wasn't responsible for pro-competitive benefits reaped from price deals. The judge's conclusion: "The defendants' argument may be rejected once again."

Babies "R" Us and Peg Perego declined to comment on the case. Maclaren offered a statement that it "strongly denies the allegations and shall continue to vigorously defend this action." The attorneys for Britax, Medela and BabyBjörn did not return requests for comment. Barring a settlement, plaintiff lawyer Fegan expects the case to go to trial in 2010. "These cases are very hard to win," says Lino Graglia, an antitrust expert who teaches at the University of Texas School of Law. "But if this is an instance of a powerful retailer trying to protect itself instead of trying to provide a service to the consumer, it has to be seen as a potential winner." So all you moms who splurged on that $300 breast pump a few years ago: start looking for the receipt.

A Guide To Baby Bjorn Baby Carriers

Baby Bjorn baby carriers are easy to put on and take off.  Because all adjustments are made from the front, it’s easy for the person carrying baby to put the baby carrier on without help from anyone else.

A feature unique to Baby Bjorn baby carriers is the detachable front, which makes it possible to lift a sleeping child out of the baby carrier without waking him/her.

Baby Bjorn baby carriers provide ample support for the child’s back and head, and ensure that they are in a physiologically correct position.  They are designed to take weight off the shoulders and distribute it evenly between the shoulders and back. 

Baby carriers from Baby Bjorn are developed in close collaboration with physicians. Baby Bjorn Babysitter Balance

Baby Bjorn's new babysitter has an even more durable and strong seat made of cotton and polyester. It’s positioner is also quieter and easier to set to its three different positions - play, rest and sleep. Also, it is equipped with a safety catch that keeps it securely folded when in the transport mode. Another new feature is the plastic footrest with robust anti-glide strips that protect the floor and keep the babysitter firmly in place.

The soft, durable fabric used in the harness is 60% cotton and 40% polyester. The quilting is 100% polyester. The fabric does not contain any health-hazardous substances and has been approved in accordance with Oeko-Tex Standard 100, class 1 for baby products.

Baby Bjorn Babysitter Balance gently molds itself to the baby’s body. The child’s weight is evenly distributed over the seat, which results in good support for his/her head and back.

The fabric is easy to take off and should be machine-washed separately (warm/ 40 degrees C). We recommended a gentle, bleach-free detergent. Do not tumble dry.

Baby Bjorn Babysitter Balance can be used for newborns (3.5kg/ 7.7 lbs.) up to children who weigh 13 kg/ 28.6 lbs.

You can let your child sit in the Baby Bjorn Babysitter Balance for as long as he or she is content. It’s even fine for your child to sleep in the babysitter for short periods if he/she enjoys that. However, small children should not sit or lie in the same position for extended periods. That’s why we recommend that you pay close attention to your child’s needs and switch between the babysitter and, for example, a baby carrier, baby carriage or bed.

We recommend that you remove the harness when your child is big enough to climb in and out of the Baby Bjorn Babysitter Balance. However, even when your child can do this on his/her own, we strongly recommend that you supervise your child.

Baby Bjorn Babysitter Balance can be set to three positions for small children – play, rest and sleep. For slightly older children, who can sit down in the babysitter without help, it soon becomes their very own favorite rocking chair.

1. Play (sitting position) can be used up to approx 13kg/ 28.6 lbs.
2. Rest (half-way position) can be used up to approx 10 kg/ 22 lbs.
3. Sleep (reclining position) can be used up to approx 7 kg/ 15.4 lbs.

No batteries are needed for Baby Bjorn Babysitter Balance. Your child’s slightest movement is transformed into gentle, soothing rocking. The child is developing his coordination and having fun at the same time!

Baby Bjorn Travel Crib Light

The Baby Bjorn Travel Crib Light was developed for children age 0- 3 years.

It can be set up very quickly, with one easy motion. When folding the Travel Crib Light, lift up the legs before folding them inwards.


Travel Crib Light weighs only 5 kg/11 lbs, which makes it easy to take along on both short and long trips. Its measurements are as follows:

Mattress: 60 cm x 105 cm x 4 cm (24 x 42 x 1.6 in)
Base, inside: 82 cm x 112 cm x 60 cm (32 x 44.8 x 24 in)
Folded: 60 cm x 49 cm x 14 cm (24 x 19.6 x 5.6 in)

The zipper on the fabric of the mattress cover makes it easy to remove and machine wash separately, hot (60°C). The travel crib’s outer fabric is also easy to remove and machine wash separately, warm (40 degrees C).

Baby Bjorn Fitted Sheet for Travel Crib Light is made of soft, organic cotton. The fabric contains no health-hazardous substances and has been tested in accordance with Oeko-Tex Standard 100, class 1 for baby products.

Other sheets can be used, but Baby Bjorn Fitted Sheet for Travel Crib Light has been specially designed for use with our travel crib. It is tailor-made to fit the mattress, so that the sheet remains smoothly stretched and in place. The elastic allows you to make the bed easily.

The fitted sheet is easy to take off and can be machine-washed (warm/ 60 degrees C).
